Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Mizal’s websites, apps, dashboards, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
If you use the Service on behalf of an organization, you represent you have authority to bind it, and “you” includes that organization.
1) Definitions
- Creator: a user who connects, submits, or authorizes ingestion of Content into the Service.
- User: a user who searches, views, or otherwise uses the Service to discover Content or receive results.
- Content: materials made available through the Service, including text, images, audio, video, code, repositories, links, and metadata.
- Creator Content: Content associated with a Creator or sources the Creator connects/authorizes.
- Output: search results, rankings, excerpts, summaries, and other responses produced or returned by the Service (including AI-assisted responses).
- Third-Party Services: services not operated by Mizal (e.g., content platforms and external providers).
2) Eligibility
You must be at least the age of majority or otherwise have legal capacity to enter into these Terms, or use the Service with valid consent/authorization as required by applicable law.
3) Accounts and Security
You are responsible for safeguarding your account credentials and for all activity under your account. You must promptly notify us of any unauthorized access or suspected security incident.
4) The Service
Mizal provides tools that may:
- ingest Creator Content from Creator-connected sources (e.g., URLs, feeds, APIs, uploads, connectors),
- process Content (e.g., cleaning, chunking, indexing, embedding/vectorization, storage),
- provide search and retrieval and AI-assisted discovery over Content,
- display results via dashboards, widgets, or APIs.
Mizal may use Content and Output, in aggregate or de-identified form, to develop, test, maintain, and improve the Service, including improving search relevance, ranking, summarization, and retrieval performance. This does not transfer ownership of Creator Content to Mizal.
We may change, suspend, or discontinue any part of the Service at any time.
Mizal does not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any Content will be ingested, indexed, searchable, or retained without interruption. The scope, accuracy, ordering, and completeness of search results and Output may vary over time.
5) Creator Terms (Connecting and Ingesting Content)
5.1 Authorization to Access Sources
If you connect a Third-Party Service or provide access methods, you authorize Mizal to access, retrieve, and process Creator Content from those sources as needed to provide the Service. You are responsible for ensuring you have the rights and permissions to grant that authorization and that your use complies with applicable third-party terms.
5.2 Creator Representations
You represent that:
- you own or have all necessary rights, licenses, and permissions to authorize ingestion and use of Creator Content under these Terms,
- Creator Content and Mizal’s permitted use will not violate law or infringe or misappropriate any third-party rights (including IP, privacy, or publicity rights).
5.3 License to Mizal (Creator Content)
You grant Mizal a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transform (including creating embeddings/vector representations), index, cache, and display Creator Content to provide, maintain, secure, and improve the Service, including:
- generating and storing searchable indices and embeddings,
- retrieving and displaying excerpts/snippets and links,
- producing Output (including summaries and relevance-ranked results),
- enabling sharing features you enable (e.g., public pages/widgets).
This license continues until the applicable Creator Content is deleted from the Service in accordance with Section 11, subject to lawful retention.
5.4 Visibility and Sharing
Creators may be able to configure visibility and sharing. You are responsible for your configuration choices and understand that enabling public features can make Content accessible to others.
6) User Terms (Searching and Using Output)
6.1 Permitted Use
You may use the Service and Output for lawful purposes and in accordance with these Terms. Use of underlying Creator Content remains subject to the rights of the applicable rights-holders and any applicable source terms.
6.2 Output Disclaimer
Output may be incomplete, inaccurate, or outdated. You are responsible for verifying Output before relying on it. The Service does not provide legal, medical, financial, or other professional advice.
7) Acceptable Use
You will not:
- violate any law or third-party rights,
- use the Service to scrape or harvest data except as expressly permitted by Mizal in writing or via documented APIs,
- bypass access controls, rate limits, or security measures,
- introduce malware or interfere with the Service’s operation,
- attempt to reverse engineer or extract proprietary components (to the extent not prohibited by applicable law),
- use the Service to generate, disseminate, or facilitate unlawful content or harmful conduct.
You will not use the Service in violation of applicable export control, sanctions, or trade compliance laws, and you represent that you are not located in, under the control of, or a national of any jurisdiction subject to comprehensive sanctions where use of the Service would be prohibited.
We may investigate violations and suspend or terminate access.
Content Moderation and Service Controls
Mizal may, at its discretion, remove, restrict, refuse to ingest, re-rank, suppress, or disable access to any Content or Output, in whole or in part, if we reasonably believe it is necessary to comply with applicable law, protect the Service, address legal or security risks, enforce these Terms, or prevent harm to Mizal, users, or third parties. Mizal has no obligation to monitor Content or Output, but may do so voluntarily.
8) Intellectual Property
Mizal and its licensors own the Service (excluding Content). Creators retain ownership of their Creator Content, subject to the license granted in these Terms. You receive only the limited rights expressly granted here.
If you provide feedback, you grant Mizal the right to use it without restriction or compensation.
9) Copyright / Notices
Mizal respects intellectual property rights and complies with Canada’s notice-and-notice regime under the Copyright Act.
If you believe that content made available through the Service infringes copyright, you may send a written notice to: hi@mizal.ai, including sufficient detail to identify the copyrighted work, the allegedly infringing material, and your contact information.
Where required by law, Mizal may forward the notice to the relevant user. Mizal may, but is not obligated to, remove or disable access to content in appropriate circumstances, including in cases of repeated infringement or where required by law.
Nothing in this section creates an obligation for Mizal to adjudicate disputes between third parties.
10) Third-Party Services
The Service may integrate with or display content from Third-Party Services. Mizal is not responsible for Third-Party Services, including their availability, policies, or content. Your use of Third-Party Services is governed by their terms.
11) Deletion and Retention
Creators may request deletion of Creator Content via the Service or by contacting support. Deletion typically removes Content and associated indexes/embeddings from active systems, but limited retention in backups/logs may occur for a period consistent with security, operational needs, and legal obligations.
12) Privacy
Mizal’s processing of personal information is described in our Privacy Policy and governed by applicable privacy laws, including Québec privacy legislation (including reforms commonly referred to as “Law 25”) and, where applicable, PIPEDA. If we transfer personal information across borders (e.g., for hosting or processing), we do so in accordance with applicable law and our Privacy Policy.
13) Fees (If Applicable)
If any portion of the Service is paid, fees, billing terms, renewal/cancellation, and taxes will be presented at purchase or in an order form, and are incorporated into these Terms.
14) Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service and Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some warranties may not be excluded under applicable consumer protection laws.
15) Limitation of Liability
To the maximum extent permitted by applicable law, Mizal will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service.
To the maximum extent permitted by applicable law, Mizal’s total liability for all claims arising out of or relating to the Service will not exceed the amounts you paid to Mizal for the Service in the 12 months preceding the event giving rise to liability.
Nothing in these Terms excludes, limits, or modifies any mandatory rights or remedies available under applicable consumer protection legislation, including Québec consumer protection laws, where such rights cannot be waived.
16) Indemnification
To the extent permitted by applicable law, you will indemnify and hold harmless Mizal from claims arising out of: (a) your Content (including Creator Content), (b) your use of the Service, or (c) your violation of these Terms or third-party rights.
17) Suspension and Termination
We may suspend or terminate your access if you violate these Terms, if required by law, or if your use poses risk to the Service, other users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive will survive termination.
Upon suspension or termination, your access to the Service, including dashboards, APIs, and sharing features, may be disabled immediately. Creator Content will be handled in accordance with Section 11 (Deletion and Retention). Public links, widgets, or shared views may be disabled. Mizal has no obligation to retain Content following termination, except as required by law.
18) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by other reasonable means. Continued use after the effective date means you accept the updated Terms.
19) Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, excluding conflict-of-laws rules. You and Mizal submit to the competent courts of Québec for disputes arising out of or relating to these Terms or the Service.
The parties agree that disputes will be resolved exclusively by the competent courts of Québec, and that no arbitration or class action waiver is imposed by these Terms, except where permitted and expressly agreed by the parties.
20) Language
The parties confirm that they have requested that these Terms and all related documents be drawn up in English. Les parties confirment qu’elles ont exigé que les présentes Conditions et tous les documents connexes soient rédigés en anglais.
A French version of these Terms is available upon request.
21) Miscellaneous
- Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms and any referenced policies (including the Privacy Policy) form the entire agreement about the Service.
Legal notices to Mizal must be sent to hi@mizal.ai or such other address as Mizal may designate. Mizal may provide notices to you by email, through the Service, or by other reasonable means. Notices are deemed received when sent, unless applicable law requires otherwise.
